Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Bartizan Cybersecurity ("we," "our," or "us") governing your access to and use of our website and cybersecurity services.

Services Description

Bartizan Cybersecurity provides various cybersecurity services, including but not limited to endpoint protection, email security, dark web monitoring, and security assessments. The specific services provided to you will be outlined in a separate service agreement or statement of work.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

Your Responsibilities

When using our services, you agree to:

• Maintain the confidentiality of your account credentials
• Promptly implement security recommendations provided by us
• Cooperate with our team during security assessments and incident response

Payment Terms

Payment terms for our services will be specified in your service agreement or statement of work. Unless otherwise stated, invoices are due within 30 days of issuance.

We reserve the right to suspend or terminate services if payment is not received by the due date. Late payments may be subject to interest charges.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Bartizan Cybersecurity be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us for services during the 12 months preceding the claim.

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide the highest level of security protection, we do not guarantee that our services will prevent all security breaches or cyber attacks.

Indemnification

You agree to indemnify, defend, and hold harmless Bartizan Cybersecurity and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another
• Your conduct in connection with our services

Term and Termination

These Terms shall remain in full force and effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration.
